    Built on a Stable Foundation

    Zotus City is being advanced within one of Africa's most stable institutional environments. Botswana is widely recognised for its sound governance, independent judiciary, peaceful democratic tradition and tradition of prudent fiscal management.

    The programme is structured to give institutional investors, multilateral partners, and operating tenants a transparent legal, regulatory, and governance framework throughout the development lifecycle.

    Institutional Framework

    Zotus City is being advanced by Zotus City Development Group through a formal institutional MoU framework and ongoing engagement with the Government of Botswana and relevant national, local, investment promotion and regional corridor stakeholders. Land, SEZ structures, licensing, incentives, financing and delivery arrangements remain subject to the applicable approvals, agreements and final project documentation.

    Special Economic Zone Framework

    The programme is being advanced in alignment with Botswana's Special Economic Zones Authority (SEZA) regime, targeting a pathway for licensed operators and investor onboarding within designated zones, subject to applicable approvals and final designation.

    Legal and Regulatory Environment

    Botswana offers a stable common law jurisdiction, an independent judiciary and predictable contract enforcement, with recognised dispute resolution mechanisms available through the local courts and arbitration. The mechanisms applicable to any particular transaction remain subject to the relevant agreements and transaction specific legal advice.

    Transparency and ESG Standards

    Governance, procurement, environmental, and social performance are being structured against international ESG benchmarks, with disclosure aligned to recognised reporting standards as the programme matures through each delivery phase.

    Regional Trade Alignment

    The programme is positioned within the African Continental Free Trade Area, the Trans Kalahari Corridor, SADC, and SACU frameworks, supporting frictionless movement of goods, services, and capital across Southern Africa and beyond.

    Institutional Oversight

    Project delivery is intended to be supported by a governance architecture that includes board level oversight, coordination with relevant government stakeholders, technical advisory input, and engagement with multilateral institutions where applicable, subject to the formalisation of applicable arrangements.
